This website is owned and operated by Democratizing.Finance. These Terms set forth the terms and conditions under which you may use our website and services as offered by us. This website offers visitors news, educational services as it relates to investments and equity crowdfunding, and various other products and services as provided by Democratizing.Finance. By accessing, purchasing, or using the website of our service, you approve that you have read, understood, and agree to be bound by these Terms.

Advice

The advice we provide is published generally, is not personal to you and does not take account of your personal circumstances. We do not assess the suitability or appropriateness of any investment in light of your personal circumstances, including your knowledge and understanding, financial strength, tax liability or appetite for risk. Nothing publishing publicly or through paid services should be considered a solicitation of a security, or investment advice.

Democratizing.Finance does not act as an investment advisor or advocate the purchase or sale of any security or investment. Democratizing.Finance does not have any private interests in any of the companies it recommends through it's paid services ("D.F. Pro"). Democratizing.Finance will not receive compensation or other consideration from the companies it recommends through D.F. Pro or any other paid service, however Democratizing.Finance advertises that it does take a financial interest in its monthly recommendation AFTER publicizing the deal report. This will take place a minimum of 48 hours after publication. Further, All of our employees and agents must wait 24 hours after an Internet publication prior to following a recommendation. Democratizing.Finance publicizes its entire portfolio, updated at least on a quarterly basis in the interest of transparency and disclosure.

Example:
Democratizing.Finance, through its service, Democratizing.Finance Pro ("D.F. Pro) sends out a monthly company profile report. Democratizing.Finance will not have a public or private interest (previous investments or a private deal with these companies) in any companies published through this service. 48 hours or more after publication, Democratizing.Finance will then invest in the company from the report using personal funds.

If you need guidance on interpreting our advice in light of your personal circumstances, you should seek independent advice from an appropriately qualified professional. You should also interpret our advice in light of the risk warnings that are contained within it.

Subscribers should be aware that investment markets have inherent risks and there can be no guarantee of future profits. Likewise, past performance does not assure future results. Recommendations are subject to change at any time.

The testimonials presented by Democratizing.Finance are the words of real subscribers that we received in letters, emails, and other user feedback. The results presented in those testimonials are applicable to the individuals depicted only and may not be representative of the experience of others. The testimonials are not paid and are not indicative of future performance or success of any other individual.

D.F. Pro Watchlist

A watchlist of companies we are interested in is further provided through a subscription to D.F. Pro. Similarly, these are companies we are independently interested in. No compensation will be received for listing a company on this watchlist, however companies may, from time to time, be listed in which Caleb Naysmith, has previously independently invested or reserved an interest in. When relevant, any interest or connection will be disclosed wholly and completely as to any relation or previous investment in the company.

Advertising, 17-B, and Disclosures

Caleb Naysmith and Democratizing.Finance as a wholly owned sole proprietorship may engage in press releases, writing articles, independent advertising displays, and advertising of raises on Democratizing.finance, and receive consideration or compensation in return. Any and all consideration received for the publication of various articles will be marked as an ad or sponsored article when relevant, have the relevant 17-B disclosure at the bottom, or generally be publicized in an area in which it is evident that the content is sponsored content (for example, in a press release section or marked as a "press release"). For any and all questions about consideration received for any services, please email democratizingfinance@gmail.com, and we are happy to answer questions related to whether something was paid or sponsored content.

Further, Caleb Naysmith owns stock in a number of startups across various platforms, including StartEngine, Wefunder, and others. As such, Caleb Naysmith may indirectly receive financial benefit from the publication of certain articles.

Charges

For products that are recurring in nature (such as a D.F. Pro), such products generally will be provided at stated intervals; provided however, the actual frequency of delivery of any recurring products generally will be specified in the order form and/or respective marketing materials provided at the time of purchase.

Your order will be processed in 3-5 business days from the date it was placed.

If your order is on backorder, you will be notified. The order will be processed once the item is back in stock.

Shipping fees and options, where applicable, are clearly disclosed on your order form at the time of purchase.

Usage

In order to use our website and/or receive our services, you must be at least 18 years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement. You are not allowed to use this website and/or receive services if doing so is prohibited in your country or under any law or regulation applicable to you.

While Democratizing.Finance is accessible around the world, paid services are only applicable to the United States currently. Further, physical products are only applicable to the United States, but virtual goods from the shop are universally available. We discourage anyone outside of the United States from purchasing D.F. Pro as the information contained is aimed at the U.S. market, and follows U.S. regulations. Anyone purchasing D.F. Pro who is found to be subject to the jurisdiction of a non-u.s. country may have their subscription terminated and amount refunded. Further, We are entitled to terminate your paid or unpaid subscriptions and access to our Websites at any time without notice. Provided you have not breached these terms and conditions, if we terminate a paid subscription of a fixed term we will refund the unused portion of your subscription fee. If you wish to cancel your subscription, you may contact customer service at democratizingfinance@gmail.com

Reliance on content

Content in our publications is for general information only and is not intended to be relied upon by users in making (or not making) specific investment decisions. We try to ensure that the content of our Services is up-to-date and accurate, but we do not guarantee the accuracy of the information. We urge customers to perform their own due diligence.

We do everything in our power to ensure that our websites are fully operational and available to you at all times. However, in order to make sure they are up to date and offering you the best service, access may sometimes be interrupted or restricted to allow for maintenance or the introduction of new facilities and services.

The site is meant to promote communication about topics that are posted by the Democratizing.Finance. These terms and conditions constitute an agreement between use and Angels & Entrepreneurs with respect to use of the discussion boards and any content contained therein. By entering areas on the Angels & Entrepreneurs discussion boards, the user agrees to these terms and conditions.

Purchases

When buying an item, you agree that: (i) you are responsible for reading the full item listing before making a commitment to buy it: (ii) you enter into a legally binding contract to purchase an item when you commit to buy an item, and you complete the check-out payment process.

The prices we charge for using our services / for our products are listed on the website. We reserve the right to change our prices for products displayed at any time, and to correct pricing errors that may inadvertently occur. “The fee for the services and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged on a monthly basis to your payment method.

We may, without prior notice, change the services; stop providing the services or any features of the services we offer; or create limits for the services. We may permanently or temporarily terminate or suspend access to the services without notice and liability for any reason, or for no reason.

When we receive a valid warranty claim for a product purchased from us, we will either repair the relevant defect or replace the product. If we are unable to repair or replace the product within a reasonable time, the customer will be entitled to a full refund upon the prompt return of the product to us. We will pay for the shipment of repaired or replaced products to customer, and customer will be responsible for return shipment of the product to us.

Property Rights and IP rights policy

The Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of Democratizing.Finance. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.

You recognize and agree that by uploading any content (including, but not limited to designs, images, animations, videos, audio files, fonts, logos, illustrations, compositions, artworks, interfaces, text and literary works) through any means to the website, you confirm that you own all the relevant rights or received the appropriate license to upload/transfer/send the content. You agree and consent that the uploaded/transferred content may be publicly displayed at the website.

We may permanently or temporarily terminate or suspend your access to the service without notice and liability for any reason, including if in our sole determination you violate any provision of these Terms or any applicable law or regulations. You may discontinue use and request to cancel your account and/or any services at any time. Notwithstanding anything to the contrary in the foregoing, with respect to automatically-renewed subscriptions to paid services, such subscriptions will be discontinued only upon the expiration of the respective period for which you have already made payment

You agree to indemnify and hold Democratizing.Finance and Caleb Naysmith harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the website or any of the services offered on the website

To the maximum extent permitted by applicable law, in no event shall Democratizing.Finance and Caleb Naysmith, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service.

To the maximum extent permitted by applicable law, democratizing.finance and Caleb Naysmith assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.

We reserve the right to modify these terms from time to time at our sole discretion. Therefore, you should review these page periodically. When we change the Terms in a material manner, we will notify you that material changes have been made to the Terms. Any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by a court of competent jurisdiction located in Knoxville, Tennessee. The application of the United Nations Convention of Contracts for the International Sale of Goods is hereby expressly excluded.
